xG Technology, Inc. Pays Off Debt from IMT Acquisition

Sarasota, Florida—January 17, 2017— xG Technology, Inc. (“xG” or the “Company”) (Nasdaq: XGTI, XGTIW), a leader in providing critical wireless communications for use in challenging operating environments, announced today that the Company has paid off debt incurred from the acquisition of Integrated Microwave Technologies (“IMT”) and earlier than required in the original acquisition agreement.

xG completed the $3MM acquisition of IMT on January 29th, 2016 using debt financing from the seller, Skyview Capital, LLC (“Skyview”).  xG subsequently recorded a bargain purchase gain on the acquisition of approximately $2.7MM after receiving an independent valuation of the assets acquired. The original agreement required payoff of the debt over the following eighteen months. xG made the final payment on the outstanding debt and, as such, the obligation to Skyview has now been paid in full.

IMT President and RIT Alumnus’ microLite Used for the School’s Broadcast Needs

ROCHESTER, NY, JANUARY 19, 2017 – When James Bober, assistant director/chief engineer of RIT Production Services at Rochester Institute of Technology (RIT), needed a wireless broadcast solution for his multi-camera broadcasts for hockey, campus events, graduations and concerts, he turned to the microLite HD system from Integrated Microwave Technologies (“IMT”), a business unit of xG Technology, Inc. (“xG”) (Nasdaq: XGTI, XGTIW) and a leader in advanced digital microwave systems serving the law enforcement, broadcast, sports and entertainment markets.

Bober takes full advantage of the versatility of the microLite, from installing it on a boom lift during graduation ceremonies, to mounting it on cameras for cutaways during hockey games on the team benches and in the locker room. During past broadcasts, Bober relied on wired connections and IP streams, but now he can do so wirelessly, which cuts down on setup time and gives his team a lot more flexibility.

“Nine years ago we built an HD mobile production facility at RIT, which was the first HD truck in the upstate New York area that originally was set up for five cameras with expandability to eight,” explains Bober. Fast forward nine years with the addition of the microLite we now have grown to a 14-camera shoot for pre-game and game coverage, so it’s a fairly elaborate production setup for our live broadcast.”

Bober’s production team loves the flexibility and versatility the microLite affords them. From an upcoming pancreatic cancer walk, to freshman orientation, to ribbon cutting ceremonies for new buildings, the microLite system is used campus wide. One of the school’s biggest uses is for production of RIT hockey through their award-winning SportsZone Live broadcasts. “RIT is a division one hockey team, and what prompted the purchase of the microLite this year was that we started a new SportsZone Live pregame show,” says Bober. “This half hour show before the game is being broadcasted across the northeast through Time Warner Cable and on-line via Internet streams, so we really needed a reliable wireless broadcast system.

While RIT does not have a Broadcast Television Program per say, the University is the home of the School of Film and Animation, along with Communications Programs and Imaging Science degrees that all interact and relate to live broadcast. RIT uses students for many of their production positions with staff oversight. “Utilizing equipment like IMT’s microlite system allows our students a hands-on approach to innovative technologies and allows them to have real-world experience before entering the marketplace,” says Bober.

“Right now, I’m set up with the microLite from point to point, but the primary reason for going with IMT’s system over some of the other competing systems out there, is its expandability and versatility,” adds Bober. “IMT has its diversity series of new receivers and antenna array systems. My intent is ultimately to use that same transmitter and same receiver along with additional antennas to be able to expand beyond a portable setup and to potentially equip the campus so that a wireless camera can pretty much be used anywhere on campus. IMT has the capabilities that allow me to do just that.”

The microLite HD Transmitter is a superior portable system of wireless camera transmission links for high-quality video applications of up to one-mile line-of-sight (LOS). It provides exceptional range at no cost to microLite HD’s signature portability. Featuring superb H.264 encoding capabilities and operating in the standard 2k DVB-T COFDM mode, the H.264 video encoder supports the main profile of the H.264 standard and therefore provides a 30 percent bit-rate reduction or video-quality improvement compared to encoders that only support the H.264 baseline profile.

The Dragonfly sets the standard in compact wireless video technology by delivering completely new and expanded points of view and perspective. It is available in a range of kits to fit various applications, including drones, sports and broadcast. Each offering caters to the specific needs of the application. The DragonFly has a compact and lightweight form factor and features minimized power requirements, making it ideal for drone and mobile use.

“We realize the broad range of possibilities the DragonFly offers, which is why we designed multiple variations of the product to fit many applications,” says John Payne IV, president of IMT. “With the DragonFly achieving ultra-low latency, users can utilize it for remote control applications, making it the most reliable transmitter on the market.”

The DragonFly features HD/SD-SDI or optional HDMI inputs and delivers up to 50mW of power in a package measuring in at 1.85 in. x 1.38 in. x .51 in. (50 mm x 35 mm x 13 mm) that weighs less than 1.2 oz. (34 g), providing long range, reliable HD video transmission. IMT’s COFDM technology ensures the transmission of uninterrupted, live TV pictures over two miles Line-of-Sight (LOS), despite the effects of foliage, challenging terrain, buildings and other common non-line-of-sight limitations. The DragonFly also features internal ISM and GPS anti-jam filters and is available in licensed and unlicensed frequency bands.

Each DragonFly kit comes with various accessories needed to plug and play the system with ease, including mounting accessories, a microdrone ultra-small omni antenna, an HDMI or SDI extension cable and a DC integration power cable. Addition optional accessories include an ultra-small HD-SDI camera with various lens, and RS-485 and S-Bus cables.

The DragonFly is easily managed through a WiFi webpage. An Android or iOS device can detect the encrypted WiFi signal and automatically opens a browser window. Additionally, the DragonFly supports RS485 control channels and S-Bus controls through a 900MHz transceiver. The transceiver provides bi-direction controls of the transmitter, accessory camera, gimbal controls and more.

xG Completes Acquisition of Vislink Communication Systems, Assuming Full Legal Ownership

Sarasota, Florida—February 2, 2017—xG Technology, Inc. (“xG” or the “Company”) (Nasdaq: XGTI, XGTIW), a leading provider of wireless video solutions to broadcast, law enforcement and defense markets, and private mobile broadband networks for critical communications, announced that, effective today, it has completed the acquisition of Vislink Communication Systems (“Vislink”) and has now assumed full ownership of the business. This follows a vote by Vislink shareholders today which approved, as expected, amendments to the existing agreements executed on December 16, 2016, allowing for the formal transition of Vislink to xG to take place on today’s date.

The acquisition, as originally announced on October 20, 2016 was a $16 million binding asset purchase agreement. The acquisition was paid for with $6.5 million in cash and a $9.5 million promissory note. xG presently plans to pay the promissory note off with a combination of new debt and internal funding.

XG TECHNOLOGY PRICES $3,500,000 OFFERING

Sarasota, Florida—February 8, 2017—xG Technology, Inc. (“xG” or the “Company”) (Nasdaq: XGTI, XGTIW), a leading provider of wireless video solutions to broadcast, law enforcement and defense markets, and private mobile broadband networks for critical communications, today announced the pricing of an underwritten offering of 1,750,000 shares of its common stock and warrants to purchase up to an aggregate of 1,312,500 shares of its common stock at a combined offering price of $2.00. The warrants will have a per share exercise price of $2.00, will be exercisable immediately and will expire five years from the date of issuance. The gross proceeds to xG from this offering are expected to be approximately $3,500,000, before deducting underwriting discounts and commissions and other estimated offering expenses. The offering is expected to close on February 14, 2017, subject to customary closing conditions.

Sarasota, Florida—February 14, 2017—xG Technology, Inc. (“xG” or the “Company”) (Nasdaq: XGTI, XGTIW), a leading provider of wireless video solutions to broadcast, law enforcement and defense markets, and private mobile broadband networks for critical communications, today announced the closing of its previously announced underwritten public offering of 1,750,000 shares of its common stock and warrants to purchase up to an aggregate of 1,312,500 shares of its common stock at a combined offering price of $2.00 per share and related warrant. The warrants have a per share exercise price of $2.00, are exercisable immediately and will expire five years from the date of issuance.

Gross proceeds to xG Technology, Inc. from this offering are approximately $3,500,000 before deducting underwriting discounts and commissions and other estimated offering expenses payable by the Company.

The Company intends to use the net proceeds from this offering for working capital and to fund other general corporate purposes, including funding the costs of operating as a public company.  The Company may also use a portion of the proceeds to cover the remaining portion of its obligations in respect of its recent acquisition of Vislink Communications Systems.

Aegis Capital Corp. is acting as the sole book-running manager for the offering.

xG Technology Announces Early $3 Million Prepayment of $9.5 Million Vislink Promissory Note

Paydown Was Made From Existing Cash and Free Cash Flow Sources

Sarasota, Florida—February 23, 2017—xG Technology, Inc. (“xG” or the “Company”) (Nasdaq: XGTI, XGTIW), a leading provider of wireless video solutions to broadcast, law enforcement and defense markets, and private mobile broadband networks for critical communications, today announced that it has paid down $3 million of the $9.5 million deferred payment it assumed in the acquisition of Vislink. The prepayment was made from internal funding sources, primarily existing cash and free cash flow, and reflects the desire of the Company to minimize the need for financing from external sources.

xG’s acquisition of Vislink, which was completed on February 2, 2017, was paid for with $6.5 million in cash and a $9.5 million promissory note. At the request of the seller, xG has agreed to assume $3 million of additional accruals and trade liabilities to settle some of the debt earlier than originally scheduled.

The arrangement for the early prepayment was negotiated by Roger Branton, CFO and co-founder of xG Technology, and Rick Mooers, Director and co-founder of xG. Mr. Branton and his team will work directly with the individual holders of the liabilities xG will be assuming. The Company will seek to make additional early paydowns against the remaining $6.5 million debt from the acquisition using internal cash flow resources in the near future.

xG Technology Announces Additional $1.6 Million Payment on Debt from the Acquisition of Vislink

Future Payments will be from Internal Sources and will be Contingent on the Seller’s
Performance of Contractual Obligations

Sarasota, Florida—March 7, 2017—xG Technology, Inc. (“xG” or the “Company”) (Nasdaq: XGTI, XGTIW), a leading provider of wireless video solutions to broadcast, law enforcement and defense markets, and private mobile broadband networks for critical communications, today announced an additional $1.6 million payment of the remaining $6.5 million deferred payment from the acquisition of Vislink. The payment will be made from existing cash and free cash flow sources, as was the case with the $3 million prepayment announced on Feb. 23, 2017.

xG has now made early payments totaling $4.6 million against the original promissory note, thereby reducing the remaining balance to $4.9 million. The company does not plan or anticipate any equity raise to pay off the remaining debt. Additional payments against the promissory note will also be made from existing cash and free cash flow sources.

While xG has thus far sought to work with the seller in their cash constrained situation, the Company also announced that any further payments by the contracted due date will be dependent upon the seller’s performance of all of their contractual obligations. The Company continues to work with the Seller to quantify all remaining liabilities that may otherwise impact xG should the Seller not be able to pay them and/or resolve them to the Company’s satisfaction.

George Schmitt, Executive Chairman and CEO of xG Technology, said, “At the request of the seller, we have agreed to assume liabilities that were to have been contractually paid by them. We are doing this to satisfy the outstanding payments owed to our suppliers, and will be reduced from the money we owe the seller on a dollar for dollar basis. We do not anticipate that we will know enough about the other liabilities that need to be paid by the March 17 due date, and until all outstanding liabilities are dealt with and fully agreed to by both parties, we do not intend to send any cash to the seller. Furthermore, we reserve all our rights to deal with the seller as needed in response to the numerous breaches of the contract that have occurred.”

Mr. Schmitt continued, “I would also like to emphasize that we recognize and appreciate the work of the many Vislink employees who have joined the xG family as a result of this asset purchase. They have been performing up to our expectations and we are delighted to have them as part of the xG team.”

xG Technology Announces Timely and Final Payment of Remaining Deferred Debt from Vislink Acquisition

Sarasota, Florida—March 17, 2017—xG Technology, Inc. (“xG” or the “Company”) (Nasdaq: XGTI, XGTIW), a leading provider of wireless video solutions to broadcast, law enforcement and defense markets, and private mobile broadband networks for critical communications, today announced that it has reached an agreement with Pebble Beach Systems (“PBS” or “the Seller” and formerly known as Vislink, plc) for extinguishing the remaining deferred debt from the acquisition of Vislink. All deferred payments due from xG against the original promissory notes covering the acquisition of Vislink are now settled in full, and all liens are released.

The agreement included cash and sharing the proceeds from a customer receivable, among other considerations.

xG Technology Reports 2016 Results

Sarasota, Florida—March 31, 2017—xG Technology, Inc. (“xG” or “the Company”) (Nasdaq: XGTI, XGTIW), a leading provider of wireless video solutions to broadcast, law enforcement and defense markets, and private mobile broadband networks for critical communications, announced its results for the fourth quarter and year ended December 31, 2016.

Key 2016 accomplishments:

  • Announced a binding agreement to acquire the assets of Vislink Communication Systems (“Vislink”), a provider of integrated video capture, delivery and management solutions to broadcast & media and law enforcement, public safety & defense markets. Subsequent to year-end 2016, xG completed the acquisition and assumed full ownership of the business. xG also announced the final settlement of all debt arising from the acquisition, as well as the release of all liens.
  • Received a $3.0 million award, won in partnership with Southwest Research Institute® (“SwRI®”) and issued by the Defense Information Systems Agency, for Prototype Spectrum Sharing Systems for the 2025-2110 MHz Band.
  • Received an order from the US Army to supply an xMax software defined cognitive radio (SDCR) system to serve as a mobile tactical communications infrastructure. The order, received under a sole-source solicitation, was deployed at the U.S. Army Electronic Proving Ground (USAEPG) at Fort Huachuca, AZ. USAEPG is the premier organization of the Army for testing command, communications, control, computer, and intelligence systems and equipment.
  • Entered into a teaming agreement with Abilis Solutions, Inc. (“Abilis”) and Radio IP Software, Inc. (“Radio IP”) to include xMax broadband network technology in a secure wireless system for use by correctional agencies.
  • xG’s Integrated Microwave Technologies (“IMT”) business received a $500,000 order from a leading robotic defense contractor for wireless video transmission modules for use in military remote ordnance disposal applications.
  • IMT received a $450,000 order from a state investigation bureau located in the South Atlantic region for the IMT Airborne Video Downlink System (“AVDS”). The system consists of an integrated suite of downlink transmitters, receivers and antennas that will be used to capture and transmit real-time, reliable high-definition video from fixed-wing aircraft for display at command centers, mobile receivers and on video management systems.
  • IMT received a $200,000 order from a prominent state police agency located in the Mid-Atlantic region for the IMT AVDS.
  • IMT launched the Mini DirectVu handheld receiver for use in law enforcement, electronic news gathering and sporting events. The five-inch wireless diversity receiver enables exceptional portability while providing real-time live video from both ground and airborne mobile platforms.
  • IMT deployed the iSee™ RefCam HD-I wireless helmet-worn camera and transmitter at the Canadian Hockey League Memorial Cup Tournament. The RefCam is an HD video transmitter with an integrated high definition camera that captures unprecedented footage from the referee’s point of view.
  • Awarded two new patents: one for adding intelligence and efficiency to cognitive radio wireless networks, and one covering an advanced employment of Multiple Input—Multiple Output (MIMO) antennas that significantly improves wireless communications.

Roger Branton, CFO and co-founder of xG Technology, said, “In 2016 we realized substantial operational cost savings driven primarily by synergies from the integration of IMT. On February 2, 2017, we closed on the $16 million asset acquisition of Vislink using $6.5 million of cash and issuing a $9.5 million promissory note to the seller. After closing, the Company assumed $4.6 million of trade liabilities from the seller offsetting the $9.5 million promissory note. Also, xG collected $5.2 million of cash and used $2 million of that cash to settle the remaining $4.9 million promissory note due the seller. The result was a gain of $2.9 million, full settlement of the promissory note and release of all liens from the seller.  We are very excited about the acquisition of Vislink, especially not having any remaining obligations to the seller.”

Review of Results

xG ended the fourth quarter 2016 with $9,054,000 in cash compared to $368,000 at December 31, 2015.

For the year ended December 31, 2016, revenue was $6,574,000 compared to $932,000 in 2015.  Of the $6,574,000 in revenue, $6,292,000 resulted from the sales of equipment and $282,000 resulted from engineering and consulting services agreements.

For the year ended December 31, 2016, net loss attributable to common shareholders was $22.7 million, or $(36.87) per share, compared to net loss of $20.9 million, or $(332.32) per share for the year ended December 31, 2015. Earnings before interest, taxes, depreciation and amortization (EBITDA) for December 31, 2016 was of $16.2 million compared to $15.5 million for the year ended December 31, 2015. The Company prospectively has written down approximately $5.1 million of non-cash items related to inventory and impairments of intangibles.  Excluding these one-time charges, the Company reported a loss of $11.1 million for December 31, 2016 compared to a loss of $12.6 million for December 31, 2015.

New Bi-Directional Microwave Link Supports ATSC 3.0 Standards

LAS VEGAS, APRIL 18, 2017 – xG® Technology, Inc. (“xG”) (Nasdaq: XGTI, XGTIW) a leading provider of wireless video solutions to broadcast, law enforcement and defense markets, and private mobile broadband networks for critical communications, announced that its Integrated Microwave Technologies (“IMT”) business will introduce the Nulinx-IP Compact, a self-contained point-to-point, bi-directional microwave link, at the IMT/Vislink booth at NAB 2017 (Booth C8008).

The Nulinx-IP Compact supports current ATSC IP transport standards and is a highly mobile version of IMT’s Nulinx-IP Flex. This powerful microwave radio is available as an easy-to-install package that brings the high reliability and scalability of carrier-grade microwave to broadcasters.

Available as an all-indoor or split system on any licensed or unlicensed band from 5.8 through 42 GHz, IMT’s Nulinx-IP Compact has the flexibility and expandability to grow with the user’s needs. The Nulinx-IP Compact supports data rates as high as 600 Mbps in a 30 MHz Part 101 channel using a single set of antennas, and as high as 1200 Mbps using MIMO technology. It operates with as little as 75 MHz transmit/receive frequency spacing and can use traditional Part 74 (BAS) and Part 101 (Fixed Microwave Service) microwave channels.

Nulinx-IP Compact consists of a rugged outdoor unit and a power over Ethernet (PoE) injector. Legacy ASI traffic is supported through a special transparent ASI to IP multiplexer that does not require PID remapping, transporting up to four ASI streams in each direction.

As auxiliary spectrum becomes increasingly scarce, making maximum use of available channel space is essential. The Nulinx-IP Compact offers adaptive modulation constellations up to 2048 QAM, allowing for more bits to move in the same amount of spectrum. For additional efficiency, adaptive modulation nearly eliminates outages when atmospheric conditions, such as heavy rain, do not support the highest data rates. Advanced Quality of Service (QoS) controls ensure that essential program traffic continues to flow. Header de-duplication and other built-in data compression techniques also offer greater throughput in the same spectrum space.

18 Unit Purchase by UK Based-Broadcast RF to be Finalized at Show

LAS VEGAS, APRIL 24, 2017 – xG® Technology, Inc. Coinciding with the release of the HCAM, Vislink will be finalizing an order for 18 systems of the next generation HCAM transmitters and UltraReceiver placed by Dartford, UK-based Broadcast RF Ltd., a leading hire company for microwave and wireless camera hardware. The deal will be completed on day one of NAB 2017. The HCAM purchase is part of an order with a market value in excess of $900,000 that was previously placed by Broadcast RF with Vislink.

Vislink HD airborne video downlink systems deliver live pictures and seamless video streams obtained from helicopters and other aircraft to command and control assets on the ground. The equipment covered by the orders include an integrated suite of downlink transmitters, antennas, diversity receivers, handheld receivers and media servers.
